1. Scope of Agreement: These terms and conditions establish the standards under which [Supplier’s Company Name] (“Supplier”) will supply raw materials to [Poultry Feed Company Name] (“Buyer”) for use in poultry feed production. This agreement governs all transactions between Supplier and Buyer unless otherwise agreed upon in writing.

2. Product Quality and Specifications: The Supplier shall supply raw materials that meet the quality standards set by Buyer, including but not limited to, cleanliness, nutritional value, freshness, and absence of contaminants or additives harmful to poultry. Raw materials must adhere to the specific standards provided by Buyer, including any additional specifications outlined in each purchase order.

3. Delivery Terms: Supplier shall deliver the agreed quantities of raw materials to the designated location, on or before the scheduled delivery dates as specified in the purchase orders. Supplier shall bear all risk and costs associated with transportation until goods are delivered and accepted by Buyer at the delivery location. Any delay in delivery must be communicated to Buyer as soon as possible. Buyer reserves the right to cancel or alter the purchase order in case of delayed delivery.

4. Inspection and Rejection: Buyer reserves the right to inspect all raw materials upon delivery. If any items fail to meet the agreed-upon standards, Buyer may reject the goods and require Supplier to replace them at Supplier’s expense. Rejected materials must be removed by Supplier from Buyer’s premises within [Specify Timeframe, e.g., “7 days”] of notification. Failure to do so will result in the disposal of goods at Supplier’s expense.

5. Pricing and Payment: Prices of raw materials shall be as stated in the purchase order or as otherwise mutually agreed upon in writing.
